Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "User," or "your") and Cimbro LLC ("Cimbro," "Company," "we," "us," or "our"), a limited liability company based in Washington, DC, governing your access to and use of UniMatrix, including our website (deployunimatrix.com), APIs, applications, browser extensions, integrations, and any related services (collectively, the "Service").

By creating an account, signing in with Google, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

By using the Service in any way — including registering for an account, connecting a Google account via OAuth, calling our APIs, or storing memory data through UniMatrix — you affirm that you are at least 18 years old (or the age of legal majority in your jurisdiction) and that you have the legal authority to enter into these Terms on your own behalf or on behalf of the organization you represent.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

Continued use of the Service after any revisions to these Terms constitutes your acceptance of the revised Terms. See Section 13 for how we communicate changes.

2. Description of Service

UniMatrix is an AI memory layer system that provides persistent, privacy-first, and vendor-independent memory infrastructure for large language models ("LLMs") and AI applications. UniMatrix allows users and developers to store, retrieve, organize, and manage contextual memory and interaction data so that AI applications can maintain continuity across sessions, tools, and model providers.

The Service may include, without limitation:

  • A memory storage and retrieval layer for AI/LLM applications;
  • APIs and SDKs for integrating memory into third-party or first-party AI applications;
  • A web dashboard for managing, reviewing, exporting, and deleting stored memories;
  • Authentication and account management via Google OAuth; and
  • Underlying data storage using Neon Postgres (a hosted PostgreSQL database provider) to persist user interaction and memory data.

UniMatrix is designed to be model- and vendor-independent, meaning it is intended to function across multiple AI providers rather than being tied to a single LLM vendor. We do not guarantee compatibility with every AI provider, model, or third-party platform at all times, and integrations may change as the underlying ecosystem evolves.

We may add, modify, or discontinue features of the Service at any time, with or without notice, as described in Section 13.

3. User Accounts & Google OAuth

3.1 Account Creation

To use most features of UniMatrix, you must create an account. UniMatrix uses Google OAuth as its authentication mechanism, allowing you to sign in using your existing Google account credentials rather than creating a separate username and password.

3.2 Google Account Authorization

When you sign in with Google, you authorize UniMatrix to access certain information from your Google account, limited to what is necessary to authenticate you and operate the Service (such as your name, email address, and profile identifier), as disclosed on the Google consent screen at the time of authorization. We request only the scopes necessary to provide the Service and do not request access to Google data beyond what is disclosed and consented to during sign-in.

Your use of Google OAuth to authenticate is also subject to Google's Terms of Service and Google Privacy Policy. UniMatrix's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

3.3 Account Responsibility

You are responsible for maintaining the confidentiality and security of your Google account credentials and for all activity that occurs under your UniMatrix account. You must notify us immediately at legal@deployunimatrix.com if you suspect unauthorized access to your account.

3.4 Revoking Access

You may disconnect UniMatrix's access to your Google account at any time through your Google Account security settings, or by deleting your UniMatrix account through the dashboard or by contacting us. Revoking access may limit or disable your ability to use the Service.

3.5 Accuracy of Information

You agree that the information associated with your account (as provided by you or by Google) is accurate and that you will keep it up to date.

4. Acceptable Use

You agree that you will not, and will not attempt to:

  • Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
  • Upload, store, or process data that you do not have the legal right to use, including data that infringes third-party intellectual property, privacy, or publicity rights;
  • Store or transmit sensitive personal data (such as government identification numbers, financial account credentials, health records, or other special categories of data) through the Service unless you have obtained all necessary consents and have a lawful basis to do so;
  • Use the Service to develop, train, or improve a product that directly competes with UniMatrix using data obtained through the Service in violation of these Terms;
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, Neon Postgres infrastructure, or any connected networks or systems;
  • Introduce viruses, malware, or other harmful code into the Service;
  • Use automated means (bots, scrapers, crawlers) to access the Service in a manner that sends more requests than a human could reasonably produce, except through officially supported APIs;
  • Resell, sublicense, or provide the Service to third parties as a standalone service without our prior written consent;
  • Use the Service to generate, store, or propagate content that is defamatory, harassing, obscene, hateful, or otherwise objectionable; or
  • Misrepresent your identity or affiliation, or impersonate any person or entity.

We reserve the right to investigate suspected violations of this Section and to suspend or terminate accounts that violate these Terms, in accordance with Section 12.

5. Intellectual Property

5.1 Our IP

The Service, including its software, architecture, APIs, user interface, design, trademarks (including "UniMatrix"), logos, and documentation, is owned by Cimbro LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited rights expressly granted to you under these Terms, we reserve all right, title, and interest in and to the Service.

5.2 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

5.3 Your Content and Memory Data

As between you and Cimbro, you retain all ownership rights to the data, prompts, memories, and other content you submit to or generate through the Service ("User Content"). You grant Cimbro a limited, worldwide, non-exclusive license to host, store, process, transmit, and display your User Content solely as necessary to provide, maintain, secure, and improve the Service, and as otherwise described in our Privacy Policy. We do not claim ownership of your User Content and will not sell it to third parties.

5.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual, irrevocable right to use that feedback for any purpose without obligation to you.

6. Data & Privacy

Your privacy is important to us. Our Privacy Policy explains in detail what information we collect (including information obtained via Google OAuth), how we use and store it, how long we retain it, and the choices available to you, and it is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

In summary, and without limiting the Privacy Policy:

  • We store user interaction and memory data using Neon Postgres, a managed PostgreSQL database provider, with industry-standard security safeguards;
  • We use Google OAuth solely to authenticate you and to obtain the limited account information necessary to operate the Service;
  • We do not sell your personal information or your stored memory data to third parties;
  • You may request export or deletion of your memory data and account information at any time by contacting us or using in-product controls, subject to legal and operational retention requirements described in the Privacy Policy;
  • We implement reasonable administrative, technical, and physical safeguards designed to protect your data, but no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

If there is any conflict between these Terms and the Privacy Policy regarding the handling of personal data, the Privacy Policy will govern.

7. Third-Party Services

The Service relies on and may integrate with third-party services, including Google (for authentication), Neon (for database hosting), cloud infrastructure providers, and third-party LLM or AI model providers that you choose to connect to your UniMatrix memory layer. We are not responsible for the availability, content, security practices, or performance of third-party services, and your use of such third-party services is governed by their own terms and privacy policies.

If a third-party service you rely on becomes unavailable, changes its terms, or discontinues an integration, we will make commercially reasonable efforts to notify affected users but are not liable for resulting service interruptions.

8. Fees & Payment

UniMatrix may offer both free and paid subscription tiers. If you purchase a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are exclusive of taxes unless stated otherwise, and you are responsible for any applicable taxes. Except as required by law or as expressly stated in a specific offer, fees are non-refundable. We may change our pricing with reasonable advance notice; continued use of paid features after a price change constitutes acceptance of the new pricing.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by applicable law, Cimbro LLC and its officers, directors, employees, and agents disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free;
  • Any memory data stored will be permanently retained without loss or corruption;
  • Results obtained from AI models or memory retrieval will be accurate, complete, or reliable;
  • Any errors or defects in the Service will be corrected; or
  • The Service will be compatible with any specific third-party AI model, provider, or application.

You acknowledge that outputs generated by AI models using memory retrieved from UniMatrix may be inaccurate, incomplete, or unsuitable for your intended use, and you are solely responsible for evaluating the suitability of any AI-generated output before relying on it.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CIMBRO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CIMBRO LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CIMBRO LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO CIMBRO LLC FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Cimbro LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including intellectual property or privacy rights.

12. Termination

12.1 Termination by You

You may stop using the Service and delete your account at any time through the UniMatrix dashboard or by contacting us at legal@deployunimatrix.com.

12.2 Termination by Us

We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we reasonably believe: (a) you have violated these Terms; (b) your use of the Service poses a security, legal, or operational risk to us or other users; (c) required by law or legal process; or (d) we discontinue the Service, in whole or in part.

12.3 Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. We will handle deletion or retention of your stored data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Sections 5, 6, 9, 10, 11, 14, and 15) will survive.

13. Changes to the Service or Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page with a revised "Last Updated" date, and, where appropriate, by email or in-product notice. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

We may also modify, suspend, or discontinue any part of the Service at any time, with or without notice, and will not be liable to you for any such modification, suspension, or discontinuation.

14. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them or the Service will be governed by and construed in accordance with the laws of the State of Delaware and, where applicable to Cimbro LLC's operations, the laws of the District of Columbia, without regard to their conflict-of-law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Washington, DC, and you consent to the personal jurisdiction and venue of such courts. Notwithstanding the foregoing, we may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

To the extent permitted by applicable law, any dispute will be resolved on an individual basis, and you waive any right to bring or participate in a class, collective, or representative action.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Cimbro LLC regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

15.5 Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or utility failures, or governmental action.

15.6 Export Compliance

You agree to comply with all applicable U.S. and international export control laws and regulations in connection with your use of the Service.

15.7 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Cimbro LLC.
